Recently, China’s State Administration for Market Regulation (SAMR) released the revised ‘Provisions on the Registration and Administration of Business Entities (2024)’, which will take effect on July 1, 2024. The new rules aim to optimize the business environment, streamline registration procedures, and enhance service efficiency to further promote high-quality development of market entities.The regulations establish unified registration standards for various types of business entities, including companies, partnerships, sole proprietorships, and individual businesses. By promoting an integrated online platform (‘One-Stop Online Service’) and expanding the use of electronic business licenses, the new rules significantly shorten the time required to start a business and enable fully digitalized registration processes. Additionally, they strengthen information disclosure obligations, requiring timely updates of registration details and imposing stricter legal liabilities for false registrations.Notably, the revised rules introduce a ‘dormancy mechanism,’ allowing business entities affected by force majeure events—such as natural disasters, industrial accidents, or public health emergencies—to apply for a dormancy period of up to three years while retaining their legal status. This measure helps reduce operational burdens and enhances resilience during temporary hardships.Overall, the update reflects the deepening of China’s ‘streamlining administration, delegating power, and improving regulation and services’ (Fang Guan Fu) reform—lowering entry barriers while strengthening mid- and post-registration oversight—to support a unified, open, and orderly market system.
